Seller / Hire Agreement for Hire of Venue / Table / Space at Popup Venue, Central House Properties

This Seller Agreement between myself as Seller and Central House Properties (Popup Venue owners) allowing Seller to sell merchandise at the Popup Venue. In consideration for the payment of rental fees and any other applicable charges at the rate established from time to time by Central House Properties for the period of time agreed and limited right to sell the merchandise specified in their communication assigned from time to time on the terms set forth below. Nothing herein shall be deemed to create any tenancy interest in favour of Seller with respect to the space or the related services provided under this Agreement.

  1. Seller understands that Management reserves the exclusive right to designate the Seller space(s) that Seller is licensed to sell from, to change the Seller space(s) from time to time at future events, and to refuse to renew this Agreement at any time, for any reason, or for no reason at all.
  2. Seller has received and agrees to abide by and comply with all Rules and Regulations stated here, currently in effect, or as may be changed by Management from time to time.
  3. Seller acknowledges that this Agreement may be revoked for violations of the Agreement or any other Rules and Regulations, which are in effect from time to time. No refund will be provided.
  4. Management will issue a receipt to Seller, if requested, for payment of fees, and other charges, such receipt is non transferrable.
  5. Seller are not permitted to sell any ready-to-eat items or drinks for consumption on the premises (excepting designated coffee bar)
  6. Sellers are required to remove all their own waste from the premises when vacating.
  7. Risk of Loss, Insurance and Indemnification. Seller assumes sole risk of loss, theft or damage to merchandise and other personal property belonging to Seller while such property or merchandise is in Seller’s space or on the Market premises. Seller acknowledges that neither Management nor the Owner assumes any responsibility for or to ensure the safety or to protect Sellers merchandise from loss or damage caused by fire, rain, theft, malicious mischief, accident, or any other cause. Seller acknowledges that they have been advised to purchase insurance to protect against these and other losses. Seller agrees to indemnify defend and hold the owners of Central House Properties harmless from any liability damage, cost or expenses arising from any and all claims for injury and damage to persons and property arising out of or in any way related to Sellers operations, this Agreement, Seller’s use of or activities in or around Seller’s spaces/s or the Market premises and/or injury to persons or property resulting from any cause whatsoever including, but not limited to, any furniture or fixtures in Seller’s space, or from merchandise, other property or other items sold or exchanged by Seller. Seller assumes full responsibility for all merchandise Seller offers for sale.
  8. Seller must comply with all applicable legal requirements; Seller is only authorised to sell the types of merchandise as agreed at time of booking. Sale or display of counterfeit merchandise of any kind is strictly prohibited. If any Seller engages in the sale of counterfeit items while renting space at the Popup Venue, Central House Properties are not responsible for any unlawful sales or actions by the seller who is solely responsible for their actions and consequences for their actions.
  9. Seller agrees to treat the property (Popup Venue) and contents and that of other sellers with respect and that any damage caused by the Seller will be repairable or replaced at the Sellers expense.
